Welcome to ModiLearn (“Company”, “we”, “our”, or “us”). By accessing or using the ModiLearn platform (“Platform”), you agree to be bound by this User Agreement (“Agreement”). Please read this Agreement carefully before using the Platform.
This Agreement is a legal contract between you (“you”, “your”, or “user”) and ModiLearn regarding your access to and use of the Platform, which allows users to generate and edit e-learning content using AI technologies. If you do not agree with any part of this Agreement, you must stop using the Platform.
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you have the legal capacity and authority to enter into this Agreement.
You are solely responsible for the content that you create, generate, edit, or share using the Platform. You agree that you will not use the Platform for any illegal, harmful, or inappropriate activities, including but not limited to:
We reserve the right to suspend or terminate your account at our sole discretion if you violate any terms of this Agreement or engage in any prohibited activities. Any illegal activities may be reported to the appropriate authorities.
All content created, generated, or edited by you using the Platform (“User Content”) remains your property. You retain full ownership of the User Content, including any copyrights or intellectual property rights.
However, you acknowledge that similar content may be created by other users using the same AI features available on the Platform. Any similarity between User Content is purely coincidental and accidental, as the AI tool used to generate the content is based on the same underlying technology. We are not responsible for any such similarities and make no guarantees regarding the uniqueness of the User Content.
You are solely responsible for ensuring that the User Content does not infringe on any third-party rights, including but not limited to intellectual property rights, privacy rights, or proprietary rights.
The Platform utilizes AI features provided by third-party providers to assist with content generation. While these AI tools are designed to enhance your e-learning creation process, we make no guarantees regarding the quality, accuracy, or originality of the content generated.
We do not assume any liability for the content generated using the AI tools, and you agree to use these features at your own risk.
By using the Platform, you consent to our collection and storage of your personal information, including your email address and any content you create or generate on the Platform. We use this information to provide the Platform’s services and communicate with you regarding your account and activities.
We take reasonable steps to protect your personal data, but you acknowledge that no data transmission over the Internet is 100% secure. For more details on how we collect and use your data, please refer to our Privacy Policy.
You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to notify us immediately of any unauthorized access or use of your account.
ModiLearn operates on a credit-based system for AI content generation. If you would like a refund after generating one course as a test case, you may request a refund for any remaining unused credits by contacting us at support+refund@modilearn.com. However, any further use of the platform beyond a test case will result in no refund eligibility for the remaining credits.
Once credits have been used to generate AI content, they are considered spent and are non-refundable.
Credits purchased on the Platform will expire 12 months from the date of purchase. If no new credits are purchased within 12 months, the e-learning courses you have created on the Platform may be removed after the expiration of this period.
You acknowledge and agree that the use of the Platform is provided on an "as is" and "as available" basis. While we strive to ensure that the Platform operates smoothly and without errors, we do not guarantee the quality, accuracy, or reliability of the content generated, nor do we guarantee uninterrupted or error-free service.
To the fullest extent permitted by law, ModiLearn shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform, including but not limited to:
In any event, our total liability to you for any claims related to this Agreement or your use of the Platform will be limited to the amount you paid to us for the services within the previous twelve (12) months.
Payments for the Platform’s services, including the purchase of credits, are processed through a third-party payment processor, currently Stripe. We do not store or process your payment information directly. By using the Platform, you agree to comply with Stripe’s terms and conditions and privacy policy. We are not liable for any issues or errors related to payment processing.
We reserve the right to terminate or suspend your access to the Platform at any time, with or without cause, and without prior notice, if you violate any terms of this Agreement or engage in any prohibited conduct.
You may also terminate your account at any time by visiting the account settings page and following the account deletion instructions. Upon termination, any unused credits will expire, and your account data will be permanently deleted.
You agree to indemnify, defend, and hold harmless ModiLearn, its affiliates, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees) arising out of or in any way connected with:
We may update or modify this Agreement from time to time at our sole discretion. Any changes will be effective immediately upon posting the updated Agreement on our website. You are responsible for reviewing the Agreement periodically to ensure that you are aware of any changes. Your continued use of the Platform after any modifications to the Agreement constitutes your acceptance of the updated terms.
This Agreement will be governed by and construed in accordance with applicable laws. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts, as determined by applicable law.

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
This Agreement, along with our Privacy Policy, constitutes the entire understanding between you and ModiLearn regarding your use of the Platform and supersedes all prior agreements, whether written or oral, related to your use of the Platform.
By using the Platform, you acknowledge that you have read, understood, and agree to be bound by this User Agreement.
